Compliance and Anti-Bribery Program

GranEnergia has a Compliance and Anti-Bribery Program, which is based on GranEnergia’s key values in respect to good governance, safety, integrity, quality, sustainability and respect. GranEnergia sees itself as a true and transparent business partner and seeks to engage with business partners with a similar set of values and culture.

GranEnergia expects its employees, business partners and other related parties to adopt and comply with the ethical principles, commitments and integrity guidelines which are reflected in the GranEnergia’s Compliance and Anti-Bribery Policy, the Code of Ethics and Conduct and related Guidelines, which outlines the desired behavior with respect to issues related to compliance with internal legislation and procedures, ethical issues, integrity and the fight against corruption and bribery.

It is the obligation of GranEnergia, its employees, business partners and other related parties to comply with the specific anti-bribery laws of each country in which they operate and any other relevant anti-bribery rules that might be applicable.

Respect for the rules is not limited to compliance with the Law, but also to the observance of the guidelines provided for in the Code of Ethics and Conduct and in the specific corporate governance policies, among other policies adopted by GranEnergia and its Customers.

GranEnergia has a qualified organizational unit, segregated from the business and audit areas, which acts independently, aiming to guarantee the full scope of its activities, and to exclude any conflict of interest. GranEnergia guarantees the independence and authority of the Compliance Anti-Bribery Role, providing the necessary resources to carry out its activities.

Anti-Corruption Guideline

GranEnergia is committed to conducting all of its businesses with ethics, integrity, transparency and in compliance with applicable laws. GranEnergia’s permanent challenge is to grow in a consistent, transparent and sustainable way, which implies never giving up ethics and integrity. Therefore, in accordance with its public commitment, it ensures compliance with the national and foreign anti-corruption and anti-bribery laws, including the Brazilian Anti-Corruption Law 12.846 and the United States Anti-Corruption Law, Foreign Corrupt Practices Act (“FCPA”).

Whistleblowing Channel

GranEnergia bases its performance on high ethical and moral standards and seeks to disseminate these standards throughout the production chain. In line with the Code of Ethics and Conduct and the principles of good corporate governance, GranEnergia has an exclusive whistleblowing channel for complaints and suggestions related to the subject.

Anyone who identifies any suspected violation of the Code of Ethics and Conduct, the other Compliance and Anti-Bribery Program documents or any laws or regulations, by any person, including third party employees, must report this matter immediately.

GranEnergia has a zero-tolerance policy on retaliation against employees for reporting suspected violations of our policies, guidelines, procedures or Code and anonymity is 100% guaranteed. Important: The whistleblowing channel is exclusive for complaints, information and suggestions relating to GranEnergia’s Code of Ethics and Conduct and the other Compliance and Anti-Bribery Program documents and subjects. Messages and inquiries that are unrelated to these purposes, such as sending cvs, contact by suppliers and other questions unrelated to the Code of Ethics and Conduct and the Compliance and Anti-Bribery Program, will not be handled and/or routed through this channel. 

Ethics and Conduct Committee

GranEnergia has an Ethics and Conduct Committee that meets ordinarily every six months and extraordinarily when requested by one of its members. This Committee has autonomy and independence to investigate and judge cases of violations of our Code and Compliance and Anti-Bribery Program and to impose appropriate disciplinary sanctions.

The members of the Ethics and Conduct Committee are responsible for disseminating, resolving doubts and providing guidance on compliance with the Code of Ethics and Conduct, the Compliance and Anti-Bribery Program and other applicable laws or regulation.

Compliance - Anti-bribery Role (Compliance Officer)

The Compliance Anti-bribery Role (Compliance Officer) has been assigned with the responsibility and authority to;

  1. supervise the design and implementation of the Compliance and Anti-Bribery Program by GranEnergia;
  2. supervise the design and implementation of the Compliance and Anti-Bribery Program by GranEnergia; 
  3. ensure that the Compliance and Anti-Bribery Program is consistent with ISO 37001:2019;
  4. ensure that the Compliance and Anti-Bribery Program is consistent with ISO 37001:2017.

The Compliance Anti-bribery Role has appropriate competence and reports directly to the Senior Management which guarantees its position, authority and independence to oversee the Compliance and Anti-bribery Program.

Policy & Certification

GranEnergia’s Compliance and Anti-Bribery Program is guided by the Compliance and Anti-bribery Policy, which defines the Principles, Guidelines and Commitments regarding issues of compliance with internal legislation and procedures, ethical, integrity, anti-corruption and anti-bribery issues, guiding its processes, activities and the conduct of all Members and Third Parties. GranEnergia’s Compliance System is certified under ISO 37001:2019. The certificate is available below in this section.

Human Rights and Slavery

At GranEnergia, we respect and treat every individual equally. Each human being has the right to be treated in an honest and fair way. GranEnergia does accept any form of slave or child labor as well as GranEnergia does not engage in any form of business partnerships with entities that are suspected to be using any form of slave or child labor. GranEnergia requires a declaration from each subcontractor that it does not use any form of slave or child labor in the provision of its services.

Illegal Discrimination in the Workplace

GranEnergia ensures that each employee and potential employee is treated fairly and with dignity. Therefore, any illegal discriminatory practice based on race, color, sex, sexual orientation, age, religion, ethnicity, nationality or social origin, financial status, political or other opinion, disability, origin or any other basis will not be tolerated. GranEnergia rejects any type of Forced Labor, including Child Labor and works closely with its subcontractors and suppliers to prevent and eliminate any cases of forced or child labor.

Working Conditions

GranEnergia complies with all laws regarding working conditions, including laws on working hours and overtime, and will comply with all agreements negotiated with the representatives of our members.
